TERMS AND CONDITIONS FOR MERCHANTS
Welcome to the Online Marketplace Platform (ALAKBA). These
Terms and Conditions ("Agreement") govern your use of the Platform as
a merchant ("Merchant").
1)
Eligibility
You must be 18 years or older and have the legal capacity to
enter into this Agreement to use the Platform as a Merchant.
2)
Registration Process:
To use the Platform as a Merchant, you must register and
create a Merchant account ("Account"). You agree to provide accurate
and complete information when registering and creating your Account. You will
be responsible for maintaining the confidentiality of your Account information
and ensuring that your Account information is accurate and up-to-date.
3)
Merchant Products and Services
As a Merchant, you may list and sell your products and
services on the Platform subject to the Platform's policies and guidelines. You
represent and warrant that you have the right to offer the products and
services that you list on the Platform and that the products and services
comply with all applicable laws and regulations.
4)
Transaction and Payment
All transactions on the Platform will be processed through
the Platform's payment system. The Platform will deduct its fees and commissions
from the payment before remitting the payment to you. You authorize the
Platform to deduct its fees and commissions from the payment. The Platform may
hold the payment for a period of time to verify the transaction and to ensure
that there are no chargebacks or disputes.

Fees and Commissions
The Platform will charge you fees and commissions for using
the Platform as a Merchant. The fees and commissions will be deducted from the
payment before remitting the payment to you. The fees and commissions may vary
depending on the products and services that you offer on the Platform. The
Platform may change the fees and commissions at any time by providing you with
notice.

Taxes
You are responsible for paying any taxes that may apply to
your use of the Platform as a Merchant, including sales tax, value-added tax,
or any other taxes or duties that may be applicable.
7)
Merchant Responsibilities
As a Merchant, you are responsible for:
a. Fulfilling your obligations to your customers, including
delivering the products and services that you offer on the Platform;
b. Providing accurate and complete information about your
products and services;
c. Complying with all applicable laws and regulations;
d. Resolving any disputes or issues that may arise with your
customers;
e. Maintaining the quality of your products and services;
f. Providing excellent customer service to your customers;
and
g. Ensuring that your Account information is accurate and
up-to-date.
8)
Platform's Rights and Responsibilities
The Platform reserves the right to:
a. Modify or discontinue the Platform at any time;
b. Remove or suspend any Merchant account that violates this
Agreement or the Platform's policies and guidelines;
c. Refuse or reject any listing, product or service that
violates this Agreement or the Platform's policies and guidelines;
d. Change the fees and commissions at any time by providing
notice to the Merchant;
e. Hold the payment for a period of time to verify the
transaction and to ensure that there are no chargebacks or disputes;
f. Release the payment to the Merchant after deducting the
fees and commissions;
g. Withhold the payment or deduct any amount from the payment
in case of a chargeback, dispute, or refund request;
h. Access the Merchant's Account and transaction data for any
reason, including for fraud prevention, risk management, or legal compliance
purposes;
i. Amend this Agreement at any time by providing notice to
the Merchant.

Limitation of Liability
The Platform will not be liable to you for any damages,
losses, or expenses arising from your use of the Platform as a Merchant,
including but not limited to, any direct, indirect,

Shipping
and Delivery:
You are responsible for ensuring that your products are
delivered to customers on time and in good condition. You must provide accurate
shipping information, including the delivery time, tracking number, and
shipping carrier. You must also provide clear instructions for customers on how
to return products.

Customer Service:
You are responsible for providing excellent customer service
to your customers. You must respond to customer inquiries, complaints, and
requests for refunds promptly and professionally. You must also comply with our
platform's policies on customer data privacy and protection.
12)
Prohibited Activities:
You must not engage in any fraudulent or illegal activities
on our platform. You must not sell counterfeit, illegal, or dangerous products.
You must not use our platform to harass or discriminate against customers or
other merchants.
13)
Intellectual Property:
You must ensure that you have the necessary intellectual
property rights to sell your products and services on our platform. You must
not infringe on any third-party intellectual property rights, including
copyrights, trademarks, or patents.
14)
Termination:
We reserve the right to terminate your merchant account on
our platform if you violate any of these terms and conditions. We may also terminate
your account if we receive complaints from customers or if we suspect
fraudulent or illegal activities.
15)
Indemnification:
You agree to indemnify and hold our company, its affiliates,
and their officers, directors, agents, and employees harmless from any claims,
damages, or losses arising from your use of our platform or your violation of
these terms and conditions.
16)
Governing Law:
These terms and conditions are governed by and construed in
accordance with the laws of the jurisdiction where our company is based. Any
disputes arising from these terms and conditions will be resolved through
arbitration.
By registering to become a merchant on our platform, you
acknowledge that you have read and agreed to these terms and conditions. If you
